ABOUT MAGNOLIA

Magnolia’s Mission: Through the use of advanced technology and environmentally responsible methods, Magnolia Shrimp’s highly trained and motivated team will provide a fresh, safe supply of saltwater shrimp to customers in the U.S. year round and a superior return to investors.

Led by Dr. Michael Timmons of Cornell University (currently a Board Member and Vice President of Engineering for Magnolia), Magnolia Shrimp began researching indoor shrimp production in late 2000 and early 2001. Magnolia was formed to meet the growing demand for shrimp and to offset the increasing shrimp imports with a fresh, natural shrimp produced in an environmentally responsible way. Dr. Timmons is joined on Magnolia’s Board of Directors by William Shults and Robert Howe of Atlanta, GA. Mr. Shults serves as Chairman of the Board and Mr. Howe serves as the company’s Corporate Secretary. Also located in Atlanta are Magnolia’s Chief Executive Officer and Treasurer, David Rozier, and John Bender, Vice President of Marketing.

Magnolia’s prototype system, the Indoor Zero-Exchange Production (IZEP) System, was developed and refined through tests at the Conservation Fund’s Freshwater Institute in West Virginia and production trials at the Aquaculture Research Center at Kentucky State University. The company has installed the IZEP system at its new, state of the art facilities located in Beaver Dam, KY. The primary facility is the Company’s first production barn, a 30,000 sq. ft. building capable of producing over 2,000 lbs. of fresh shrimp each week.

Magnolia Shrimp has also constructed a 14,000 sq. ft. hatchery that will house our specially selected broodstock in the future. Magnolia’s breeding operation will add another step in the chain for traceability and quality control of our product.

Our Kentucky operations team is led by Dr. James Anderson, Magnolia’s Director, and Brian Boudreau, General Manager and Shrimp Scientist for Magnolia.

Dr. James Anderson – Director

Dr. Anderson is the former Managing Director for the SyAqua Division of Sygen International PLC. Dr. Anderson was instrumental in helping to create the shrimp genetics division through acquisitions and greenfield development. Dr. Anderson also served as Managing Director in Asia and Europe for PIC, the swine genetics division for Sygen.

David R. Rozier, Jr. – Chief Executive Officer and Treasurer.

David Rozier is a former Regional Vice President for the Mirant Corporation, a spin-off of Southern Company.  Mr. Rozier’s 27 year career with Southern Company and Mirant included executive level responsibilities over a variety of disciplines including generating plant and electric distribution operations, project development, electricity and gas trading and marketing, federal and state governmental relations, and financial analysis and planning.  Over the last three years, he has helped establish and is a partner of V & V Foods, LLC, developer and owner of Zaxby’s restaurants in the Atlanta area.  Mr. Rozier has a Master of Business Administration degree from Georgia State University and a Bachelor of Business Administration degree from Valdosta State University.

Brian Boudreau – General Manager and Shrimp Scientist.

Brian Boudreau joined the Company in September, 2005 as its General Manager responsible for research management, technology development and operations.  Mr. Boudreau has over 20 years’ experience in the shrimp farming industry, most recently as manager of a 2,500-acre farm in Honduras.

William Shults – Director and Chairman

William Shults has over 20 years of experience in the food processing industry.  He founded Natural Protein Products Corporation (“Natural Protein”) in 1989, which was a pioneer in producing dog chews and treats from low value meat byproducts.  Mr. Shults developed over 40 products and developed processes to fully automate production at Natural Protein.  Additionally, as President and Chief Executive Officer of Natural Protein, Mr. Shults oversaw all activities of the company.  In 1998, Mr. Shults sold Natural Protein and continued to manage the Pet Treat Division until January 2002.

Dr. Michael Timmons – Director and Vice-President of Engineering.

Dr. Timmons is an experienced and internationally recognized expert in indoor aquaculture design and operation.  Along with his brothers, Dr. Timmons founded Fingerlakes Aquaculture Inc., which is a one million pound per year tilapia operation, and is a chaired professor at Cornell University.  Additionally, Dr. Timmons was a founding member and past president of the Aquacultural Engineering Society.  Dr. Timmons is a partner of Holder Timmons Engineering LLC, which performs consulting work on conventional outdoor pond systems.

Robert C. Howe – Director and Secretary.

Mr. Howe has served since July 2001 as President, Chief Executive Officer and Director of Directo, Inc. a debit card transaction company providing banking and financial services to unbanked workers across the US.  Mr. Howe has over 28 years of experience in highly competitive technology companies. He was the senior marketing executive with Galileo Development Systems in 2001.  Mr. Howe held various leadership positions while at Inacom Information Systems from 1992 to 2000 including SVP and General Manager of Inacom Information Systems’ Financial Services Division and Regional Vice President and General Manager of Inacom Information Systems $300MM Southern Area. Mr. Howe received a B.S. degree from Boston College in Economics and Marketing.

John Bender Vice President.

Mr. Bender is a co-owner of Accelerated Sales and Marketing (ASM) (formerly Mote-Osborne), a manufacturer sales representative agency which represents 30 companies in ten Southern states focusing on companies in the automotive aftermarket.  ASM also assists manufacturers in new product development, market penetration and new market development.  Prior to joining Mote- Osborne in 1990, Mr. Bender was Director of Sales and Marketing for the Heli-Coil Division, Emhart Fastening Teknologies of Black & Decker. Bender holds a Business Degree in Finance and Economics from the University of Tampa.
